Independent deletion and shortened liquidation procedure of a legal person

This service implies the winding up of a legal entity in the Trade Registry and the Registry of Other Legal Entities by performing a procedure for voluntary liquidation in stages, in case that the legal entity and its legal representative carry out the procedure independently (without  a Registration Agent). Voluntary liquidation includes the following stages:

• Initiation of  liquidation by appointing the liquidator;;
• Updating (amendments to data) in the course of liquidation. Note: Amendments in the course of liquidation are performed in the same way as regular changes, using the same forms. • Public announcement that the company is undergoing liquidation;
• Termination of the initiated liquidation procedure and continuing the entity's existence;
• Deletion - completion of liquidation by deletion of the legal entity.

These services are available only to types of legal entities for which the legislation allows this way of termination.

Termination of a legal entity may also occur as a result of:

• Statutory amendment (merger and accession);
• Bankruptcy, pursuant to a decision from a competent court submitted to CRRNM;
• In this case, if an entity is established for a certain period of time, after the expiration of the time period for which it was established, a termination procedure is carried out according to the type and type of the entity.

Through further data exchange system, any data change in CRRNM is also recorded in:

• Public Revenue Office
• Employment Service Agency of the Republic of North Macedonia.

For electronic submission, all participants in the procedures need to obtain a valid digital certificate. A complete list of digital certificate issuers eligible for CRRNM may be viewed at the following location. 

For further information about the most common types of entities and the manner of submission for  different types of liquidation, please select the type of entity you are interested in from the list below. Additionally, the Central Registry registers other legal entities as well. This includes:

• Entities for which termination is not possible by performing liquidation in stages (entities requiring direct deletion/)entities for which direct deletion is required):
  • Sole Proprietor(SP);
  • Branch Office;
  • Home Owners Association.
• Entities that are established under other basic registries, for which the Central Registry provides data. For any additional information, please contact the institution responsible for the basic registry for the specific purpose:
  • Notaries;
  • Lawyers;
  • Executives;
  • Craftsman;
  • Farmers;
  • Private employment agencies;
  • Employment mediation services in the country and abroad;
  • Trade Unions;
  • Political Parties;
  • Church, Religious Community, Religious Group;
  • Chambers;
  • Others
• Entities established by a state / municipal institution or by special regulation, including:
  • Public Enterprise;
  • State institution;
  • Entity established by a special regulation.
• Other entities that are subject to registration.
  • Limited Partnership or the abbreviation (KD);
  • Limited Partnership with stocks or the abbreviation(KDA);
  • Public Trade Company;
  • Economic Interest Community or the abbreviation(SIZ);
  • Chamber;
  • Co-operative.
