Amendment (including deletion)of direct investment for non-residents in the Republic of North Macedonia
The service for amendment in the Registry of Direct Investments in case of a non-resident who has invested in a domestic entity shall be an amendment of the data for the previously entered non-resident or the domestic entity in which the investment is made, as well as data on the amount of the written investment. In certain cases, the change of the investment may be its complete deletion from the registry.
Subject to change may be the following data:
- Head office, name or identification number of the investor, or the entity in which it is invested;
- Changing the investment (increasing or decreasing the investment) through transfer or sale;
- Acquiring an investment that has already been registered as an investment;
- Deleting the investment by bankruptcy or liquidation of the entity in which it is invested;
- Deleting the investment by transfer or sale.
- Deletion of a fully paid loan (if the investment is in the form of a loan);
- Other (e.g. status change of the subject through merge or division).
The amendment can be made electronically via the Internet, or directly in the appropriate offices of CRRNM.
If the investment is registered for the first time, access the service Registration of Direct Investments - non-residents in Macedonia. A certain investment can also mean the need for two or more entries of different types (entry of a new investment or change for an existing investment) if part of the already registered investment is transferred to a new investor.
Direct investment is a type of capital transaction in the form of:
- investments of residents (legal entity or natural person) abroad, or
- investments of non-residents (legal entity or natural person) in the Republic of North Macedonia.
Direct investments shall denote investments with which the investor intends to establish a lasting economic relation and/or exercise the right to run the trade company or any other legal entity in which he/she is making an investment.
The type of occurrence and the manner of realization of the direct investment may be in:
- money, rights, items and like:
- incorporating a trade company in full ownership of the investor;
- increasing the principal capital of a trade company in full ownership;
- acquiring full ownership over the existing company;
- participation in already existing trade company, if the investor owns or acquires more than a 10% share in the core capital of the trade company, that is, more than 10% of the rights to vote.
- Loans
- a long-term loan with a maturity of five years or more, in cases of a loan from the investor which is intended for the trade company that is in his/her full ownership;
- a long-term loan with a maturity of five years or more, in cases of a loan intended for establishing a lasting economic relation if it has been granted among entities associated in a joint economic venture.
- Subsidiaries, i.e. the establishment of a subsidiary by a non-resident entity in the Republic of North Macedonia..
